These Terms of Service ("Terms") govern your access to and use of the website, products, and services operated by PrismAgent Solutions ("we," "us," or "our"), including AppraisalROV and ContractorAI (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, submitting a contact form, making a purchase, or otherwise using any PrismAgent Solutions product or website, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all terms and conditions stated herein.

2. Description of Services

PrismAgent Solutions provides AI-powered automation tools for small businesses. Current and forthcoming products include:

AppraisalROV

An AI-assisted tool that generates Reconsideration of Value (ROV) letters for use in residential real estate transactions. Output is provided as a drafting aid and does not constitute legal advice, licensed appraisal services, or a guarantee of any appraisal outcome.

ContractorAI

An AI-powered workflow automation platform for contracting businesses, including proposal generation, lead follow-up, change order management, and client communication tools. Currently in early access.

We reserve the right to modify, suspend, or discontinue any Service at any time with or without notice.

3. Accounts and Eligibility

To access certain Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Notify us immediately of any unauthorized account access at Support@PrismAgentSolutions.com.
  • Not share your account credentials with any third party.

4. Payments and Refund Policy

Certain Services, including AppraisalROV letter generation, require payment. All payments are processed securely through Stripe.

Refund Policy

Because our Services involve the immediate generation and delivery of AI-produced content, all sales are final once a letter or output has been generated. If you experience a technical failure that prevents delivery of your output, contact us within 48 hours and we will investigate and issue a credit or refund at our discretion.

  • Prices are listed in USD and are subject to change with notice.
  • Applicable taxes may be added at checkout depending on your location.
  • Subscription plans, if offered, may be cancelled at any time. Cancellation takes effect at the end of the current billing cycle with no prorated refunds.

5. AI Output Disclaimer

All content generated by PrismAgent Solutions tools is produced using artificial intelligence and is provided for informational and drafting purposes only.

  • PrismAgent Solutions is not a licensed appraiser, attorney, real estate broker, or financial advisor.
  • AppraisalROV output does not constitute a formal Reconsideration of Value, legal advice, or a guarantee that any appraisal will be reconsidered or revised.
  • Users are solely responsible for reviewing all AI-generated content for accuracy before submitting it to any lender, appraiser, or third party.
  • Users must comply with their lender's official ROV submission guidelines and all applicable USPAP and AIR guidelines.
  • ContractorAI-generated proposals, contracts, and communications are drafts only. Users are responsible for ensuring all documents meet applicable legal and contractual requirements.
  • We make no warranty that AI-generated content is accurate, complete, or fit for any particular purpose.

6. Acceptable Use

You agree not to use our Services to:

  • Upload documents containing unredacted personal information of third parties without their consent.
  • Violate any applicable local, state, federal, or international law or regulation.
  • Submit false, misleading, or fraudulent information to generate output.
  • Attempt to reverse engineer, scrape, or systematically extract data from our platform.
  • Use our Services in any way that could harm, disable, or impair our systems or other users.
  • Resell, sublicense, or commercially exploit any AI-generated output without prior written consent from PrismAgent Solutions.

7. Intellectual Property

All content, branding, software, and technology on our platform — including but not limited to logos, designs, text, and AI system architecture — are the property of PrismAgent Solutions and are protected by applicable intellectual property laws. AI-generated output produced using your inputs is licensed to you for personal or business use. You retain ownership of the documents and data you upload to our platform.

8. Limitation of Liability

To the fullest extent permitted by applicable law, PrismAgent Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to:

  • Errors or inaccuracies in AI-generated content.
  • Any appraisal outcome, lender decision, or contractual dispute.
  • Loss of data, revenue, or business opportunity.
  • Service interruptions or technical failures.

Our total liability to you for any claim arising from these Terms or your use of our Services shall not exceed the amount you paid us in the 90 days preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless PrismAgent Solutions and its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We reserve the right to suspend or terminate your account and access to our Services at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. You may close your account at any time by contacting us at Support@PrismAgentSolutions.com.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association, unless prohibited by applicable law.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
